CONSTITUTION AND BY LAWS
ARTICLE I: Name
Section 1. The name of this organization is the Troup Academic Booster Club (ABC).
ARTICLE II: Mission
Section 1.
a. The mission of the ABC is to support Troup ISD in its efforts to:
1) promote high academic standards for all students
2) foster positive self-esteem in all students
3) recognize and honor the academic accomplishments of deserving students and staff
4) secure scholarship support for all eligible students
ARTICLE III: Organization
Section 1.
a. The ABC shall be a nonprofit 501-C3 organization.
b. The ABC shall be nonsectarian, nonpartisan, and nonpolitical
c. Individual members of the ABC shall retain all political rights and privileges so long as their activities are not portrayed as representing the ABC in any manner
d. The name of the ABC shall not be used to endorse or promote a commercial interest, individual, or party, or any purpose not directly and appropriately related to the promotion of it’s ‘Mission and Purpose’
e. The ABC shall not compete with any Troup ISD organization
Section 2.
a. The ABC shall operate under the jurisdiction of Troup ISD
b. A representative from each campus and central office shall be present at each meeting
c. The THS counselor shall serve as an ad hoc member, without voting rights.
d. The superintendent of Schools, or his designee, shall serve as ad hoc member, without voting rights
e. The President of ABC, in coordination with the superintendent of schools shall prepare all meeting agendas
f. The ABC shall be a district wide organization providing service to all students in Troup ISD without preference to any particular campus, program, or student
g. The superintendent of schools and Troup ISD staff shall provide appropriate assistance, facilitation, and accommodation to the ABC, in keeping with Troup ISD policies and ABC By Laws
h. The calendar and fiscal years for the ABC shall run from the first Saturday in April to the first Saturday in March.
ARTICLE IV: Officers
Section 1.
a. Officer position shall consist of:
1. President
2. Vice-President for Scholarship Support
3. Vice-President for Adult Mentoring
4. Vice-President for membership
5. Information Services for Scholarship Support
6. Information services for Adult Mentoring
7. Secretary
8. Treasurer
b. Terms of office shall be for 2 years. The inaugural offices of President, Vice-President for Adult Mentoring, Information services for scholarship support and secretary shall begin the first Saturday of April 2003 and run to the first Saturday of April 2005. The inaugural offices of Vice-President for Scholarship Support, Vice-President for membership, Information Service for Adult mentoring, and Treasurer shall begin the first Saturday of April 2004. All offices, thereafter, shall begin the first Saturday of 2003 and run to the first Saturday of 2004. All offices, thereafter shall be for two consecutive years with no limit on the number of terms.
Section 2.
a. Officers shall be elected by simple majority vote of the general membership.
b. In the absence of the President, the Vice-President for Scholarship Support, and the Vice-President for Adult-Mentoring or the Vice-President for membership shall preside in meetings in no said order.
c. No action shall be taken by the ABC except as approved by a simple majority of the general membership present and voting
d. Officer elections shall be held in April of each year
e. The duty of the officers shall be facilitated the business of general membership
f. The president shall preside over and moderate all meetings and shall present to the general membership all ABC reports, activities and actions
g. The Secretary shall record all ABC business and provide a copy of the minutes to each meeting for approval
h. A record of all meetings shall be filed and available for viewing upon request
i. The secretary shall maintain and updated constitution and By Law and Provide each member a copy annually
j. Officer vacancies shall be filled by simple majority vote at regularly scheduled meetings
ARTICLE V: Budget and Finance
Section 1.
a. The ABC treasurer shall secure, maintain, disburse, and account for all ABC financial records and funds
b. ABC funds shall be reviewed annually by the president and at least one Vice-President and presented to the ABC club in April
c. A financial account shall be established with a local financial institution
d. The ABC treasurer shall assure filing of an SS 4 Federal ID form
e. The ABC treasurer shall ensure filing and receipt of papers necessary to secure 501-C3 status.
Section 2.
a. monies collected by the ABC shall be used solely for purposes approved by a single majority vote of the general membership
b. The presidents or one of the Vice-Presidents in the Presidents Absence shall approve a cosign in writing and cosign all expenditures of all ABC funds, prior to disbursement
Section 3.
a. All ABC funds dedicated to Academic Scholarship shall be provided to the Troup Education Foundation for disbursement. Written criteria for selection of scholarship awards shall be provided by the TEF by the ABC
b. The selection of each recipient of an ABC scholarship shall rest solely with the TEF
c. Relatives of ABC members are eligible for scholarship funds raised by the Troup ABC; excepting a relative of a member who is serving concurrently on the TEF
d. Scholarships awarded by the TEF on behalf if the ABC shall be presented at the annual THS awards ceremony. The THS principle shall oversee the ceremony
ARTICLE VI: Meetings
Section 1.
a. Meetings shall be held on the first Saturday of August, October, December, February, and April of each year
b. Meetings shall begin at 9 am and be adjourned by simple majority vote of the general membership present and voting
c. A change of meeting date may be arranged by a majority vote of the general membership present and voting
d. A quorum of members must be present to conduct business A quorum shall consist of 8 members
e. Special meetings shall be called by the unanimous vote of the President, Vice-Presidents, and the Superintendents of Schools
f. The ABC President shall, in consultation with the Superintendent of schools, retain authority to cancel meetings due to an emergency situation or lack of sufficient business
ARTICLE VII: Membership
Section 1.
a. Membership shall be open to all parents, grandparents, and relatives of students of Troup ISD, faculty and interested individuals
b. A member who in good standing is one who has paid annual dues and who supports and follows the ABC constitution and By Laws
c. Teachers and administrators who are exempt of dues
d. Annual dues shall be $5. Dues shall be set at the April Board meeting by simple majority vote of the general membership present and voting
e. A member of the ABC may be expelled, at any general meeting, with a ¾ vote of the membership present and voting
Section 2.
a. Sponsorships are Silver ($25) Gold ($50) and Platinum ($100)
ARTICLE VIII: Action Teams
Section 1.
a. From time to time, Action Teams shall be formed to achieve specific goals and objectives
b. Action Teams shall be formed with a simple majority vote of the general membership. Upon completion of the ABC task assigned the Action Team shall terminate.
c. Two permanent Action Teams shall be:
1) Scholarship Support
2) Adult Mentoring
ARTICLE IX: Constitution and By Laws
Section 1.
a. The ABC Constitution and By Laws May be amended at any general
meeting by a 2/3 vote of the membership, present and voting. Notice of
the proposed amendment shall be given in advance to all ABC members
and to the Tri-County Leader.
